Terms of Service

These terms govern your use of MultiVendorOS ("the app"), operated by RedexSoft ("we", "us"). By installing the app on a Shopify store you agree to them. If you do not, do not install it.
1. What the app does
MultiVendorOS turns a Shopify store into a multi-vendor marketplace. It splits incoming orders across vendors, calculates your commission on each line, keeps an auditable ledger of what you owe each vendor, and gives your vendors a portal to manage their products and orders.
What it does not do — please read this before you rely on it. Shopify checkout takes a single payment into your account. It cannot split that payment between vendors, and no app can make it do so. The app records what you owe each vendor and helps you pay them; the money moves from your bank, on your instruction. Any claim you may have seen elsewhere about "split payments at checkout" is not something this app or any Shopify app can deliver.
2. Your account
- You must have an active Shopify store and comply with Shopify's own terms.
- You are responsible for what happens under your account and your vendors' accounts, including keeping credentials secure.
- You must be legally able to enter into this agreement.
3. Your responsibilities as the marketplace operator
You operate the marketplace. We provide the software. That means:
- You decide who sells on your store, and you are responsible for vetting them.
- You are the merchant of record for every sale. Tax, invoicing and consumer-law obligations are yours.
- You are responsible for paying your vendors what the ledger says you owe them. The app records the obligation; it does not assume it.
- You are responsible for the commission terms you agree with your vendors and for telling them when you change them.
- You must comply with data protection law in respect of your customers, including telling them that a third-party app processes order data.
4. Fees and billing
- Subscription fees are charged through the Shopify Billing API and appear on your regular Shopify invoice. We never take a card directly.
- Every plan includes a 14-day free trial. You are not charged until it ends.
- Plans are billed every 30 days in advance. Prices are in USD.
- We take no commission on your sales. The subscription is the whole price.
- We may change prices with 30 days' notice by email. A price change never applies to a period you have already paid for. Founding Member rates, where granted, are honoured for as long as the subscription stays continuously active.
5. Cancellation
You can cancel from inside the app, in one click, at any time. There is no support ticket, no phone call and no retention flow. When you cancel:
- Your marketplace keeps working until the end of the period you have paid for.
- Nothing is deleted. Vendors, products, orders and every ledger entry stay exactly as they are for 30 days.
- You can export vendors, products, orders and your full statement at any time, on any plan.
- What you owe your vendors is unaffected. Payout obligations are between you and them and are not tied to your subscription.
We do not refund part-periods, because Shopify bills in advance and you keep access for the whole period.
6. Acceptable use
You may not use the app to:
- break any law, or sell goods you are not permitted to sell;
- infringe anyone's intellectual property;
- attempt to access another merchant's or vendor's data;
- probe, scan or overload our infrastructure, or circumvent rate limits;
- resell or white-label the app itself as your own product, except under a plan that explicitly includes white-labelling of the vendor portal.
We may suspend an account that is doing any of the above. Where the situation allows, we will tell you first and give you a chance to fix it.
7. Availability
We aim for 99.9% monthly uptime and publish no promise we do not intend to keep. Planned maintenance is announced in advance where possible. Outages caused by Shopify, by your own store configuration, or by force majeure are outside our control and outside any availability commitment. Enterprise agreements may carry a separate written SLA, which prevails over this section.
8. Your data
Your data remains yours. We process it as described in our Privacy Policy, which forms part of these terms. You can export it at any time and it is deleted 30 days after you uninstall.
9. Our intellectual property
The app, its source code, design and documentation remain ours. Installing it grants you a non-exclusive, non-transferable right to use it while you are subscribed. It does not transfer ownership of anything.
10. Liability
The app is provided "as is". To the fullest extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
Our total liability to you in any 12-month period is capped at the fees you paid us in that period. We are not liable for lost profits, lost sales, lost data, or indirect or consequential loss.
Nothing here excludes liability that cannot lawfully be excluded — including for fraud, or for death or personal injury caused by negligence.
11. Indemnity
You will indemnify us against claims arising from your operation of your marketplace, the goods sold on it, your relationship with your vendors, or your breach of these terms.
12. Changes to these terms
We may update these terms. Material changes are emailed to installed merchants at least 30 days before they take effect. Continuing to use the app after that means you accept them; if you do not, cancel before they take effect.
13. Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live.
